These Terms of Service ("Terms") govern your access to and use of the website and services of Tai'an Rainchen Clothing Manufacturing Co., Ltd. ("Rainchen", "we", "us", or "our"). By accessing this website or placing an order with us, you agree to these Terms. If you do not agree, please do not use this website or our services.
1. About Us
Rainchen is an OEM/ODM apparel manufacturer and wholesaler based in Tai'an City, Shandong Province, P.R. China. We provide custom and bulk garment production services to business customers (B2B). This website is intended for business and informational purposes.
2. Use of the Website
You agree to use this website lawfully and not to misuse, disrupt, or attempt to gain unauthorized access to it.
You agree not to copy, scrape, or use our content for competing or unlawful purposes.
You are responsible for the accuracy of the information you submit through our forms.
3. Business & Wholesale Cooperation
Our products and services are offered to businesses on a wholesale and made-to-order basis. Minimum order quantities (MOQ) apply and are confirmed per product and order.
Quotations, lead times, MOQ, specifications, and prices provided through this website or in correspondence are indicative and become binding only when confirmed in a written sales contract or proforma invoice (PI) signed or accepted by both parties.
Product images, colors, materials, and measurements shown on the website are for reference. As goods are custom-manufactured, slight variations may occur. Approved samples and the signed specification sheet are the binding reference for bulk production.
4. Orders, Payment & Deposits
Orders are confirmed through a proforma invoice or sales contract specifying products, quantities, prices, payment terms, and delivery.
Deposit: Unless otherwise agreed in writing, bulk production starts after we receive a deposit (typically 30%–50% of the order value). The balance is payable before shipment or as stated in the contract.
Deposits are non-refundable once materials have been purchased or production has begun, except where Rainchen fails to deliver in accordance with the agreed contract.
Accepted payment methods (e.g., bank transfer/T/T) are stated on the proforma invoice. Bank charges are borne by the payer unless otherwise agreed.
Prices are exclusive of taxes, duties, and import fees in the destination country unless expressly stated.
5. Samples
Pre-production samples may be provided upon request. Sample fees, sample lead times, and courier costs are quoted separately. Bulk production proceeds only after you approve the sample in writing.
6. Returns, Shipping & Quality
Return, refund, and replacement terms — including handling of defective or non-conforming goods — are set out in our Return & Refund Policy. Delivery, freight, and customs responsibilities are set out in our Shipping Policy. Both policies form part of these Terms.
7. Intellectual Property
All content on this website — text, images, designs, logos, and trademarks — is owned by Rainchen or its licensors and is protected by law. You may not use it without our prior written consent.
Designs, artwork, logos, and specifications you provide to us for OEM/ODM production remain your property. You confirm you have the right to use them and that they do not infringe any third party's rights; you agree to indemnify us against claims arising from materials you supply.
We will not use your branded designs to produce goods for other customers.
8. Disclaimer & Limitation of Liability
This website and its content are provided "as is" without warranties of any kind, express or implied. To the maximum extent permitted by law, Rainchen shall not be liable for any indirect, incidental, or consequential damages arising from your use of the website or reliance on its content. Our total liability in connection with any order shall not exceed the value of that order.
9. Third-Party Links
This website may contain links to third-party sites and services (such as WhatsApp or affiliated companies). We are not responsible for the content, policies, or practices of those third parties.
10. Force Majeure
We are not liable for delays or failures caused by events beyond our reasonable control, including natural disasters, epidemics, strikes, power or raw-material shortages, customs delays, or government actions.
11. Governing Law & Disputes
These Terms are governed by the laws of the People's Republic of China. The parties shall first attempt to resolve any dispute amicably. Failing that, disputes shall be submitted to the competent courts in Tai'an City, Shandong Province, unless otherwise agreed in the relevant sales contract.
12. Changes to These Terms
We may update these Terms at any time. The current version is posted on this page with a revised "Last updated" date. Continued use of the website after changes are posted constitutes acceptance of the revised Terms.
